Our Community Development practitioners bring their knowledge of tax, financing, real estate, government policy, nonprofit organizations and regulatory oversight to assist our clients with creative and appropriate solutions for complex projects. Successful community development requires not just legal knowledge but also a deep understanding of industry issues. We maintain strong relationships with key industry contacts such as tax credit investors and syndicators, lenders, private equity firms, community development entities (CDEs), historic architects, project accountants, IRS personnel and strategic federal, state and local government contacts.

Our services span from project inception and structuring through development, financing, ownership and disposition. We negotiate transactional documents, issue tax opinions and provide defense for tax controversies and regulatory oversight. Our team members also speak regularly at national conferences such as the American Bar Association Forum for Affordable Housing and Community Development Law Boot Camp and the Texas Housing Conference. We are actively involved in industry groups, including the New Markets Tax Credit Working Group, the Opportunity Zone Working Group and the Historic Tax Credit Coalition.

<strong>Affordable Housing and Low-Income Housing Tax Credits</strong>

Representing for-profit and nonprofit developers in financing affordable housing properties with 9 percent and 4 percent LIHTCs, often with multiple other sources of federal, state or local financing.&nbsp;

Assisting with financing and regulatory issues for the acquisition and disposition of LIHTC properties at the end of their compliance periods.

Crafting creative public/private partnerships to construct or preserve nonsubsidized workforce housing and permanent supportive housing.

Representing NMTC investors, CDEs and nonprofit and for-profit developers on NMTC financings for projects located across the country.

Utilizing NMTCs to finance operating businesses (including to finance working capital needs and in the context of large-scale project finance transactions) and real estate projects (including mixed-use real estate projects, hotels, owner-occupied real estate projects, community center projects, grocery stores, theaters and manufacturing/production facilities).

Combining NMTC financing with many other sources of capital and incentives, including conventional debt and equity, bond financing, Property Assessed Clean Energy (PACE) financing, tax increment financing, capital lease structures, HTC financing, opportunity zone (OZ) capital, grants and state tax credits.

Representing HTC investors, syndicators, senior lenders, bridge lenders and nonprofit and for-profit developers on historic rehabilitation projects located across the country.

Utilizing HTCs to finance all types of real estate asset classes, including multifamily, office, retail, hotels and hospitality, mixed-use and special purpose.

Combining HTC financing with many other sources of capital and incentives, including conventional debt and equity, bond financing, PACE financing, tax increment financing, capital lease structures, NMTC financing, OZ capital, grants and state tax credits.

<strong>Renewable Energy Tax Credits</strong>

Representing clients on a wide range of renewable energy projects, including those involving wind and solar energy, carbon sequestration, energy storage and green hydrogen.

Assembling cross-disciplinary teams to advise clients on all aspects of renewable energy investments, projects and structures.

Advocating for clients with respect to congressional and statutory interpretation matters and regulatory and sub-regulatory projects and guidance involving the U.S. Department of the Treasury and the IRS.
