We represent buyers and sellers in transactions ranging in size from several million dollars to more than a billion dollars. Our team consists of corporate lawyers supported by attorneys with a concentration in tax, antitrust, ERISA, labor and employment, regulatory, real estate, lending, environmental, data privacy and cybersecurity, intellectual property, and other key disciplines.


  • Counseled Clements Worldwide, an international insurance broker, risk management and consulting services firm that provides products and services for expats, diplomats and military personnel, as well as commercial solutions for nonprofits, contractors, embassies and schools across 130 countries, in its sale to Arthur J. Gallagher & Co.
  • Represented The Bottoms Group, The Benefit Company and their joint venture TBX Benefit Partners, which provide employee benefits insurance products and consulting services to businesses, educational institutions and individuals across Georgia and the Southeastern U.S., in their acquisition by insurance brokerage firm IMA Financial Group.
  • Represented Dwight W. Andrus Insurance Inc., Dwight Andrus & Richard Insurance, Inc. and DAI Shreve, LLC (Dwight Andrus Insurance), one of the largest independent insurance agencies in the country for more than 75 years, in their sale to Hub International Limited.
  • Represented the largest independent brokerage in the Pacific Northwest in its recapitalization and securities issuance to a private equity investor.
  • Represented All Risks, Ltd. in its sale to Ryan Specialty Group, LLC.
  • Completed a $250 million transaction with a public company buyer where the seller was partially owned by an ESOP.
  • Represented a private equity-backed insurance brokerage in more than 100 transactions ranging from $1 million to more than $100 million in enterprise value.
  • Completed multiple transactions with public company buyers with enterprise values between $100 million and $250 million.
  • Successfully structured numerous transactions involving the purchase or sale of personal goodwill or other complex tax matters such as state franchise and excise tax.
