<li>Represented garbage collection and recycling services provider in connection with an internal restructuring and subsequent sale (by merger) to industry-leading waste-by-rail company in a nine-figure transaction.</li>
<li>Represented Blue Point Capital Partners in connection with the sale of its portfolio company, Quality Synthetic Rubber, to a portfolio company controlled by Industrial Growth Partners. Worked closely with Blue Point and Harris Williams to conduct a productive auction process for the sale.</li>
<li>Represented CBIZ Inc. in numerous acquisitions, including recent acquisitions of accounting, employee benefits and other service businesses. Transactions typically include complex earn-out payments, issuance of stock as consideration and regulatory considerations. Recently also represented CBIZ in the sale of its medical billing practice subsidiary to Zotec for approximately $200 million.</li>
<li>Represented Phillips &amp; Temro Industries Inc., a portfolio company controlled by Morgenthaler Private Equity, in a stock sale to an entity controlled by Audax Private Equity.</li>
<li>Lead counsel for DDR Corp. in connection with its $6.2 billion acquisition by merger of Inland Retail Real Estate Trust. At the time of the transaction, it was the second-largest retail real estate investment trust (REIT) transaction in REIT history.</li>
<li>Represented Morgenthaler Private Equity in connection with the sale of Satellite Logistics to Hillebrand Group.</li>
<li>Represented Blue Point Capital Partners in connection with its acquisition of JTM Foods.</li>
<li>Represented Investcorp Technology Partners in connection with its tender offer for shares of Thought Equity Motion Inc.</li>
<li>Lead attorney in acquisition and sale transactions involving hotel and resort properties valued at more than $500 million and shopping center properties valued at more than $8 billion.</li>
<li>Represented Citymark Capital in connection with the formation of its first two funds and the acquisition of multiple multifamily projects by the Citymark funds.</li>
