Monica regularly counsels clients on how to address the risks associated with implementation and integration, acceptance testing, system configuration, service level agreements, transition planning and other common areas of exposure in technology contracting. She provides practical guidance to companies to identify transactional benefits and risks, assists companies in crafting strategies to address and overcome the risks associated with technology and outsourcing agreements&nbsp;and aids in closing deals within tight budgets and timetables. Prior to practicing in the U.S., Monica practiced law in India. Because of her background, knowledge and experience with India and its laws, she is able to provide unique value to clients by helping them bridge cross-border differences in business and social cultures, language, geopolitical risk, logistical infrastructure and dispute resolution processes in order to achieve successful outcomes when dealing with offshore outsourcing transactions.

<li>Represented a major manufacturing company with the drafting and negotiation of an outsourcing agreement and multiple statements of work relating to BPO and ITO services. The agreement advanced the company&#8217;s value creation strategy and is a key element in its efforts to significantly improve business process efficiencies and to reach cumulative operational cost savings of millions of dollars over a period of three years. Counseled the client with respect to the RFP process, assessing service provider responses and proposals, and drafting and negotiating master agreements and statements of work with service providers for the outsourced processes.</li>
<li>Represented a healthcare provider in a multimillion-dollar international IT outsourcing matter. Assisted the client with the drafting of its master services agreement and negotiated the agreement with multiple vendors.</li>
<li>Represented an insurance company with the review of its RFP, selection of a vendor, and the drafting and negotiation of outsourcing for application development and maintenance.</li>
<li>Represented a national bank in the drafting and negotiation of contracts with a software provider relating to software development, licensing, maintenance and software. Drafted and negotiated the software development and license agreement, support and maintenance agreements, and agreements relating to the purchase of software and hardware provided by third parties.</li>
<li>Served as counsel to a product device manufacturer in the development of a comprehensive policy for open source software compliance. Performed detailed analysis of prevailing licenses governing the use and distribution of open source software at the platform and application levels, advised on various risk scenarios, and assisted the client with implementing internal controls and approval processes.</li>
<li>Represented a company in a project relating to the implementation of the enterprise resource planning systems for the development and implementation of customer relationship management and supply chain management systems. Counseled the client with respect to managing the development, implementation and configuration process with outside consultants and vendors; drafted and negotiated a master agreement, with the primary consultant providing services related to the system; and drafted and negotiated support, maintenance and service level agreements.</li>
