Jeremy regularly leads and tries corporate and complex commercial cases in the Delaware Court of Chancery and the District of Delaware. He has extensive experience in mergers and acquisitions and matters involving corporate governance, appraisal and indemnification. He’s also well-versed in handling disputes related to software development, technology transfer and license agreements; restrictive covenants; trusts and estates; and misappropriation of trade secrets.

In addition, Jeremy focuses on patent, trademark, copyright and false advertising litigation and advises corporations, alternative entities, directors, management and stockholders on their rights and obligations under Delaware law.

Jeremy chairs the Corporate Counsel Section of the Delaware State Bar Association and founded the Delaware chapter of the J. Reuben Clark Law Society. He has been recognized multiple times by Delaware Super Lawyers, The Best Lawyers in America® and IAM Patent 1000.

Stockholder Derivative Lawsuits and Class Actions

<li>Lead counsel for celebrity hairstylist in multijurisdictional litigation against the other company founders, including a stockholder derivative lawsuit in the Delaware Court of Chancery for breach of fiduciary duty, a breach of contract action in the New York Supreme Court and a trademark dispute in the Southern District of Florida &#8211; all of which settled favorably for the client.</li>
<li>Represented a multinational software company in stockholder derivative lawsuit in the Delaware Court of Chancery against inventor of several patents who fraudulently transferred those patents to a newly formed company, settling after many favorable rulings for the client.</li>
<li>Represented the board of directors of a drug manufacturer accused in the Delaware Court of Chancery for breaching fiduciary duty for off-label drug sales, allegations that were dismissed after a special committee found they had no merit.</li>
